Collectively referred to herein as the "Parties." This Agreement sets forth the complete terms under which the Service Provider will deliver bookkeeping and accounting services to the Client.
Section 1
Scope of Services
Service Provider agrees to perform the following bookkeeping and accounting services (select/edit as applicable to this engagement):
- Monthly transaction recording and categorization in [QuickBooks Online / Xero / Other]
- Bank and credit card account reconciliation
- Monthly financial reporting: Profit & Loss Statement and Balance Sheet, delivered within [5] business days of month-end
- Accounts payable and accounts receivable tracking (if applicable)
- [Additional service — e.g., payroll support, sales tax filing, budget vs. actual reporting]
- [Additional service — e.g., quarterly business review calls]
Services explicitly excluded from this Agreement (unless separately contracted): tax preparation and filing, legal advice, financial audits, and investment advisory services.
Section 2
Term & Engagement Period
This Agreement shall commence on [Start Date] and shall continue on a [month-to-month / 6-month / annual] basis until terminated by either Party in accordance with Section 7 (Termination) below.

Section 4
Client Responsibilities
To enable timely and accurate service delivery, Client agrees to:
- Provide Service Provider with necessary access to accounting software, bank feeds, and financial documents
- Respond to information requests within a reasonable timeframe (generally within 3–5 business days)
- Provide accurate and complete information regarding business transactions
- Notify Service Provider promptly of any changes to business structure, banking, or accounting systems
Section 5
Confidentiality
Service Provider acknowledges that in the course of this engagement, they will have access to confidential and proprietary financial information belonging to the Client. Service Provider agrees to maintain strict confidentiality of all such information, both during and after the term of this Agreement, and will not disclose such information to any third party without the Client's prior written consent, except as required by law.
Section 6
Independent Contractor Status
Service Provider is engaged as an independent contractor and not as an employee, partner, or agent of the Client. Service Provider retains full control over the manner and means of performing the services described herein. Service Provider is solely responsible for their own taxes, insurance, and business expenses. Nothing in this Agreement shall be construed to create an employer-employee relationship between the Parties.
Section 7
Termination
Either Party may terminate this Agreement at any time by providing [30] days written notice to the other Party. In the event of termination, Client agrees to pay for all services rendered up to the effective date of termination. Service Provider agrees to provide reasonable transition assistance, including access to completed financial records, for a period of [14] days following termination.
Section 8
Limitation of Liability
Service Provider agrees to perform all services with reasonable care and professional skill. However, Service Provider's liability for any claim arising from this Agreement shall not exceed the total fees paid by Client in the [three (3)] months preceding the claim. Service Provider shall not be liable for any indirect, incidental, or consequential damages arising from this Agreement. Client acknowledges that Service Provider is not a substitute for a Certified Public Accountant (CPA) or licensed tax preparer for tax filing purposes.
Section 9
Ownership of Financial Records
All financial records, reports, and data prepared during the course of this engagement remain the sole property of the Client. Upon termination of this Agreement, Service Provider will provide Client with access to or copies of all relevant financial records within the timeframe specified in Section 7.
Section 10
Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of [Client's State/Country, or Philippines]. In the event of a dispute arising from this Agreement, the Parties agree to first attempt resolution through good-faith negotiation before pursuing formal legal action or mediation.
Section 11
Entire Agreement
This Agreement constitutes the entire understanding between the Parties regarding the subject matter herein and supersedes all prior discussions, negotiations, and agreements, whether written or oral. Any amendments to this Agreement must be made in writing and signed by both Parties.
